1 Who we are and what this is
Latchkey ("Latchkey," "we," "us") operates a property management platform and contractor marketplace at latchkey-app.com: lease creation and electronic signing, rent collection, maintenance coordination, a public job marketplace, and related tools. By creating an account or using the service you agree to these Terms.
2 Accounts
You must be at least 18 and provide accurate information, and keep your sign-in credentials secure. You are responsible for activity under your account. One person may operate multiple business profiles under one login; each business is treated separately for listings, verification display, and billing. You can delete your account at any time from the account menu (Delete my account); see the Privacy Policy for what is removed and what we must keep. We may suspend or close accounts that violate these Terms or put other users at risk.
3 Fees, plainly
Latchkey charges exactly the following, and nothing hidden:
- Marketplace jobs: a platform fee of 5% of the job amount, capped at $500 per job, deducted from the contractor's payout when funds are released. The person paying for the job pays the job amount and nothing more.
- Contractor memberships: optional paid plans (Pro, Pro+) billed monthly at the prices shown on the Membership page, cancellable any time via the billing portal.
- Rent payments: no service fee is added to tenants. Payment processing costs are borne by the landlord, never passed to the tenant.
- Direct invoices a contractor sends to their own customers carry no Latchkey fee.
Fee changes will be announced in advance and never applied retroactively to funds already secured.
4 Payments and Lockbox
Payments are processed by Stripe; Latchkey does not store card or bank numbers. "Lockbox" means a job payment is captured and held with our payment processor until the payer confirms the work is done and releases it, at which point the contractor is paid the job amount minus the marketplace fee. Latchkey is not a bank, and Lockbox is a payment-timing feature, not a regulated escrow service. Disputes about work quality are between the parties; the audit trail (photos, messages, signatures, timestamps) is available to both sides.
5 Electronic signatures
Documents signed through Latchkey use electronic signatures intended to comply with the U.S. ESIGN Act and UETA. By signing electronically you consent to transact electronically and agree that your electronic signature has the same effect as ink. A full signing audit trail is retained with each document.
6 Conduct, and content you post
Contractors must hold the licenses and insurance they claim; we verify against public state registers where available and display what we find. Job posters must describe work honestly and release funds promptly when work is completed as agreed. No off-platform payment steering to avoid fees on jobs originated here, no harassment, no fraud, no unlawful use.
Zero tolerance for objectionable content and abusive behaviour. Latchkey lets members post listings, offers, questions, reviews, business pages, worksite photos and messages. Content that is illegal, harassing, hateful, sexually explicit, violent, fraudulent, or that reveals someone else’s private information is not allowed, and neither is abusive conduct toward other members. Every listing, review, profile and conversation has a Report control, and you can block a member from their profile or a conversation. We review reports within 24 hours, remove content that breaks these rules, and ban members who post it. We may also remove content at our discretion to keep the marketplace safe.
7 Your content and data
You own the content you upload (documents, photos, listings, messages). You grant us the license needed to store, display, and process it to run the service, and to remove it under the conduct rules above. Public marketplace content (listings, business pages, reviews) is visible to anyone; messages are visible to their participants; worksite photos are visible to the crew and contractor on that worksite. You can edit or remove your own listings and offers, and you can ask us to remove anything else you posted. See the Privacy Policy for how personal data is handled.
8 Communications
Text messages (SMS). We contact you to run the service - by email always, and by text message (SMS) only if you opt in. Text messaging is off by default. You opt in inside your Latchkey account by entering your own mobile number and checking a consent box, unchecked by default, that reads: “I agree to receive recurring automated lead and account text messages from Latchkey at this number. Msg frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help. Consent is not a condition of using Latchkey.” Texts you may receive include account and service notifications (a lease to sign, a payment or payout update, a job lead you asked to hear about) and security codes. Message frequency varies and message and data rates may apply. Reply STOP to any text to stop, or HELP for help; you can also turn texts off in your account settings. The same consent form is publicly available at https://latchkey-app.com/sms. SMS consent is not required to use Latchkey and is never a condition of purchase. We do not sell or share your mobile opt-in information or phone number with any third party or affiliate for their marketing purposes; the Privacy Policy describes this in full.
9 Disclaimers and limits
The service is provided "as is". Latchkey is a software platform: we are not a party to leases, contracts, or jobs formed between users, and we do not guarantee the performance, licensure beyond what registers show, or solvency of any user. To the maximum extent allowed by law, our total liability for any claim is limited to the fees you paid Latchkey in the twelve months before the claim.
10 The iOS app
Latchkey Pro for iPhone is distributed through the Apple App Store under Apple’s standard Licensed Application End User License Agreement in addition to these Terms; Apple is not a party to these Terms and is not responsible for the app or its content. The app sells nothing: plans and billing are managed from your Latchkey account, and everything included in your plan works in the app.
Work tracking. A contractor who uses Work tracking is responsible for telling the people on their crew that it exists, for obtaining any consent their state or local law requires from workers, and for using the information only to run their jobs. A crew member controls the switch; tracking records presence on and near the contractor’s assigned worksites only, as the Privacy Policy describes.
11 Termination
You can stop using Latchkey any time; paid plans can be cancelled from the billing portal and run through the paid period. We may terminate accounts for breach. Sections that by nature survive (fees owed, disclaimers, liability limits) survive termination.
12 Governing law and changes
These Terms are governed by the laws of the State of Oregon, with venue in Multnomah County. We may update these Terms; material changes will be posted with a new effective date, and continued use after that date is acceptance.
